ACHISE Provider Agreement

This agreement is between ACHISE and you, the provider. It sets the rules for any work you do for ACHISE. Each piece of work is given to you in a written work order.

1. Work orders. ACHISE gives work through written work orders. Each work order states the scope, deliverables, timeline, price and any special terms. For that work, the work order applies together with this agreement. This agreement does not promise any minimum amount of work, volume or earnings.
2. Independent provider. You work as an independent provider - not as an employee, partner or agent of ACHISE. You look after your own staff, tools, taxes, licences and legal compliance.
3. Quality and timelines. You deliver the work as described in the work order and by the agreed dates, with due care and skill. If a deliverable does not match the work order, you correct it within a reasonable time at no extra cost. If you expect a delay, you tell ACHISE straight away.
4. Confidentiality and clients. Everything you learn about ACHISE, its clients, projects, prices and methods is confidential. You use it only for the work order, and you never share it with anyone else. This continues after the work ends. You deal with ACHISE only. You do not contact, offer work to, or accept work directly from any ACHISE client or person introduced through ACHISE - during this agreement and for 24 months after your last work order - unless ACHISE agrees in writing. You never share your own contact details with them.
5. Ownership of the work. Unless the work order says otherwise, everything you create for a work order belongs to ACHISE (or to the person ACHISE names) once it is paid for. You confirm the work is your own and does not copy or misuse anyone else's rights.
6. Payments. You are paid the price in the work order for approved work, after you submit your bill for it. Payment is made by bank transfer or UPI to your verified account. Taxes are deducted where the law requires, with the details shown to you.
7. Personal data and conduct. If the work involves personal data of any person, you use it only for that work, keep it safe, and delete or return it when the work ends. You work lawfully, safely and respectfully, follow site rules, and never offer or accept bribes or improper gifts in connection with ACHISE work.
8. Pausing, ending and loss. Either side can end this agreement with written notice. ACHISE may pause or end it at once if this agreement is broken. Work already approved is paid for, and you hand over all work done and all ACHISE material. You make good any loss that ACHISE suffers because you broke this agreement or acted negligently. ACHISE's total liability to you for any work order is limited to the price of that work order.
9. Law, disputes and acceptance. This agreement follows the laws of India. Both sides first try to settle any dispute by discussion. Courts in Tamil Nadu have jurisdiction. You accept this agreement online. ACHISE keeps a record of the version, date, time and device of your acceptance. If the Tamil and English versions differ, the English version applies.
